TERMS & CONDITIONS

Terms governing our website projects, digital services and ongoing care plans.

Version 2.1 · Effective 8 October 2026

These Terms & Conditions govern website projects, digital services, use of the Foundora Client Portal and ongoing Care Plan services provided by Foundora Digital Agency.

1. Scope and Business Customers

1.1 These Terms & Conditions (“Terms”) apply to all contracts, services, projects and ongoing service arrangements between Foundora Digital Agency, operated by Maximilian Lücking (“Foundora”), and its customers.

1.2 Foundora provides its contractual and paid services exclusively to entrepreneurs and business customers acting in the course of their commercial or independent professional activities. Foundora does not enter into paid service contracts with consumers. The publicly accessible Free Website Audit may be used without establishing a customer or contractual relationship.

1.3 By requesting, ordering or accepting contractual services from Foundora, the customer confirms that they are acting for business purposes and not as a consumer. Use of the Free Website Audit alone does not constitute such a confirmation or create a service contract.

1.4 Any conflicting or deviating terms of the customer shall only apply if Foundora has expressly agreed to them in writing or text form.

2. Services

2.1 Foundora provides digital services including, in particular, web design, WordPress development, website implementation, website maintenance, technical support and related digital services.

2.2 The specific scope of each project is determined by the individual proposal, project agreement, service description or other written or electronically documented agreement between Foundora and the customer.

2.3 Unless expressly included in the agreed scope, additional services such as additional pages, functionality, integrations, content creation, copywriting, photography, translations, search engine optimization, third-party licences, hosting, domains or other services are not included in the project price.

2.4 Requests that extend beyond the originally agreed scope constitute additional work and may be quoted and charged separately.

2.5 Foundora may use digital systems, including the Foundora Client Portal and the internal Foundora Desk, to administer customer relationships, projects, proposals, invoices, project information, files, support requests, Care Plans and related processes.

2A. Free Website Audit and Personal Review

2A.1 Foundora may provide a publicly accessible automated website-analysis tool (“Free Website Audit”). The Free Website Audit performs a limited technical assessment of the submitted website URL and may display indicators relating to areas such as performance, SEO foundations, security-related configuration and technical implementation.

2A.2 The Free Website Audit is provided free of charge for informational and preliminary assessment purposes. Use of the tool does not create a customer relationship, project agreement, consultancy agreement or other paid service contract with Foundora.

2A.3 Audit results are generated automatically from the information and technical responses available to the audit system at the time of the scan. Results are snapshots and may be incomplete, inaccurate, affected by temporary conditions or become outdated. A result marked as passed does not mean that a website is free from defects, vulnerabilities, legal issues or optimization potential.

2A.4 The Free Website Audit is not a penetration test, vulnerability assessment, legal review, compliance audit, accessibility certification, SEO guarantee or comprehensive security examination. Foundora does not warrant that the audit will identify every technical, security, performance, SEO, privacy, accessibility or legal issue.

2A.5 Users may submit only publicly accessible website URLs for legitimate analysis. The audit must not be used to interfere with systems, bypass access restrictions, test non-public resources, facilitate unlawful activity or intentionally overload or disrupt third-party infrastructure. Foundora may reject, restrict or terminate audit requests for technical, security, legal or misuse-prevention reasons.

2A.6 Following a completed Free Website Audit, Foundora may offer an optional Free Personal Review. Requesting a Personal Review is voluntary and does not oblige the user to purchase services or Foundora to offer or accept a project.

2A.7 For a requested Personal Review, Foundora may perform a more detailed internal assessment of the submitted website and audit results. Internal analysis, notes, scoring, reports or PDF documents created by Foundora for evaluation and business-development purposes are internal working materials unless Foundora expressly provides them to the requester.

2A.8 Any observations, recommendations or estimates communicated as part of a Free Website Audit or Personal Review are non-binding preliminary information. The scope, suitability, price and implementation of any subsequent work are determined only by a separate proposal or agreement.

2A.9 Foundora may modify, suspend or discontinue the Free Website Audit or Personal Review at any time and does not guarantee uninterrupted availability of these free functions.

2A.10 Personal data processed in connection with the Free Website Audit and Personal Review is handled in accordance with Foundora’s applicable Privacy Policy.

3. Proposals and Formation of Contract

3.1 Initial enquiries, consultations and non-binding estimates do not constitute a binding offer unless expressly stated otherwise.

3.2 Following review of the customer’s requirements, Foundora may provide an individual proposal specifying the project scope, deliverables, price and other project-specific conditions.

3.3 Proposals may be provided electronically, including through the Foundora Client Portal.

3.4 Where a proposal is made available through the Client Portal, the customer shall have the opportunity to review the proposal and the information presented in connection with it before accepting it.

3.5 Unless expressly stated otherwise in the proposal, selecting or activating the “Accept Offer” function in the Client Portal constitutes the customer’s binding acceptance of the respective proposal.

3.6 Upon acceptance, the individual proposal, these Terms and any additional project-specific conditions referenced in the proposal form the contractual agreement between Foundora and the customer.

3.7 Foundora may electronically record the acceptance of a proposal, including the relevant customer account, proposal, date and time of acceptance and other technical information reasonably required to document the transaction.

3.8 Foundora may provide confirmation of the accepted proposal electronically, including through the Client Portal or by email.

3.9 The customer is responsible for reviewing the proposal, project scope, price and other displayed contractual information before accepting the proposal and for notifying Foundora of any apparent errors before acceptance.

3.10 These Terms form part of the contract where they have been made available to the customer before or at the time the contract is concluded.

3.11 Any subsequent modification of the agreed scope requires agreement between Foundora and the customer and may affect the price and delivery schedule.

4. Client Portal and Customer Accounts

4.1 Foundora may provide customers with access to a password-protected online customer area (“Client Portal”).

4.2 Customer accounts may be created by Foundora following qualification of an enquiry or in connection with the preparation or provision of a proposal. Submission of an initial project enquiry does not by itself create a customer account or contractual relationship.

4.3 The Client Portal may provide functions including, depending on the respective customer relationship:

  • project overview and project status;
  • project progress and updates;
  • proposals and proposal acceptance;
  • invoice and payment-status information;
  • file exchange;
  • Care Plan information;
  • support requests and support tickets;
  • project-related communications; and
  • other customer or project information.

4.4 Access credentials are intended for the respective customer and authorised persons acting on the customer’s behalf. The customer shall take reasonable measures to protect access credentials against unauthorised use.

4.5 The customer shall notify Foundora without undue delay if they become aware of suspected unauthorised access to their account or compromise of their access credentials.

4.6 The customer is responsible for ensuring that persons using the Client Portal on its behalf are authorised to perform the respective actions, including the acceptance of proposals and submission of project instructions.

4.7 Actions performed through an authenticated customer account may be treated by Foundora as actions performed on behalf of the respective customer unless Foundora knew or should reasonably have known that the account was being used without authorisation.

4.8 The Client Portal is provided as part of Foundora’s project and customer-management process. Foundora may modify, maintain, temporarily restrict or replace individual portal functions where reasonably necessary for technical, security or operational reasons, provided this does not materially impair contractual services already owed to the customer.

4.9 Temporary unavailability of the Client Portal does not affect the validity of an existing contract or payment obligation. Where necessary, contractual communications or documents may also be provided by email or another reasonable method.

5. Foundora Desk and Digital Project Administration

5.1 Foundora may use Foundora Desk and other internal digital systems to manage and administer its business operations and contractual relationships.

5.2 Such systems may be used to manage, among other things, customer information, projects, proposals, project stages, invoices, payment status, files, Care Plans, support tickets, communications and internal administrative information.

5.3 Information displayed in the Client Portal may be generated from or synchronised with Foundora Desk or other systems used by Foundora.

5.4 Foundora may use reasonable automated processes to update project stages, payment indicators, proposal status, notifications and other administrative information.

5.5 Unless expressly stated otherwise, automated status information is provided for administrative convenience and does not replace the underlying contractual documents, invoices, payment records or other legally relevant documentation.

5.6 The processing of personal data in connection with Foundora Desk, the Client Portal and associated systems is governed by Foundora’s applicable Privacy Policy.

6. Customer Cooperation and Responsibilities

6.1 The customer shall provide all information, materials, access credentials, approvals and decisions reasonably required for the performance of the project in a timely manner.

6.2 Unless otherwise agreed, the customer is responsible for providing final text, images, logos, brand assets and other content required for the website.

6.3 The customer warrants that they have all necessary rights and permissions to use any materials supplied to Foundora and that their use does not infringe third-party rights.

6.4 Delays caused by missing materials, delayed feedback, unavailable access credentials, delayed approvals or other circumstances attributable to the customer may result in corresponding adjustments to the project schedule.

6.5 Where a customer fails to provide required information or feedback for an extended period, Foundora may pause the project until the necessary cooperation is provided.

6.6 Information, approvals, files and instructions submitted through the Client Portal may be used by Foundora for performance of the respective project.

7. Project Schedule and Portal Status Information

7.1 Any estimated completion dates or project timelines are based on the information available when the project is agreed and on the customer’s timely cooperation.

7.2 A specific deadline shall only be binding if expressly confirmed as binding by Foundora in writing or text form.

7.3 Changes to the scope, delayed customer feedback, delayed delivery of content, third-party delays or circumstances outside Foundora’s reasonable control may extend the project timeline accordingly.

7.4 Foundora shall inform the customer of material delays that become apparent during the project.

7.5 Project phases, progress percentages, estimated launch dates, time-remaining indicators or similar information displayed in the Client Portal are project-management information and estimates unless expressly identified as binding contractual deadlines.

8. Fees, Invoices and 50/50 Payment Structure

8.1 The applicable project price is specified in the individual proposal or project agreement.

8.2 Unless otherwise agreed, website projects are billed according to a 50/50 payment structure:

a) 50% of the agreed project price is due before project work begins.

b) The remaining 50% is due upon completion and before final handover or transfer of the completed project, subject to the agreed acceptance process and applicable law.

8.3 Foundora will issue the applicable invoices to the customer. Payments may be made using the payment methods offered by Foundora, including bank transfer and, where available, secure online payment through Stripe.

8.4 Stripe or another payment service provider may process a payment on behalf of Foundora. Any payment confirmation or receipt issued by a payment service provider does not replace the invoice issued by Foundora for the underlying project.

8.5 Foundora is not obliged to commence project work before the first payment has been received.

8.6 Foundora may withhold final handover, transfer of administrative access, files or other final deliverables until all amounts properly due for the project have been paid.

8.7 Additional work outside the agreed project scope may be quoted and invoiced separately.

8.8 The Client Portal may display invoices and payment-status information such as unpaid, pending or paid.

8.9 Payment-status information displayed in the Client Portal is provided for administrative convenience. In the event of a discrepancy, the applicable invoice and Foundora’s actual payment records shall prevail.

Refunds and Payment Disputes

8.10 Due to the customised nature of Foundora’s services, payments relating to services already performed are generally non-refundable, subject to applicable statutory rights.

8.11 If a project is cancelled or terminated before completion, any refund or remaining payment obligation will be determined based on the services already performed, expenses incurred, the individual project agreement and the applicable statutory provisions.

8.12 Duplicate payments, payments made in error or other demonstrably incorrect charges will be reviewed by Foundora and, where a refund is due, refunded using the original payment method where reasonably possible.

8.13 Payments for an already commenced monthly Care Plan billing period are generally non-refundable. Cancellation of a Care Plan takes effect at the end of the current paid billing period in accordance with Section 15.

8.14 Customers who believe that a payment has been charged incorrectly or who have a billing dispute should contact Foundora at billing@foundora-digital.com so that the matter can be reviewed and resolved.

9. Changes, Revisions and Additional Work

9.1 Unless otherwise stated in the individual proposal, each website project includes two revision rounds within the originally agreed project scope.

9.2 A revision round means one consolidated set of reasonable change requests submitted by the customer following presentation of the respective project stage. Individual requests submitted separately may be grouped by Foundora into one revision round.

9.3 A revision does not include the creation of substantially new concepts, pages, functionality or features that were not part of the agreed scope.

9.4 Additional revision rounds or requests that materially alter or expand the project may be treated as additional work and may be quoted and charged separately.

9.5 Foundora shall inform the customer where a requested change is expected to result in additional charges before carrying out such additional work.

9.6 Additional work may also result in an adjustment to the estimated completion date.

10. Review and Acceptance of Completed Work

10.1 Acceptance of a proposal under Section 3 and acceptance of completed project work under this Section are separate processes.

10.2 Upon substantial completion of the project, Foundora will provide the customer with an opportunity to review the agreed deliverables and may request formal acceptance.

10.3 The customer shall provide consolidated feedback or refuse acceptance by identifying at least one specific material defect or deviation from the agreed scope within 7 calendar days after receiving Foundora’s request for review or acceptance.

10.4 If the customer does not declare acceptance or refuse acceptance within that period, Foundora may set an additional reasonable deadline for acceptance. Where the statutory requirements for deemed acceptance are met, the project may be deemed accepted after expiry of that deadline. Statutory rules regarding acceptance remain unaffected.

10.5 Acceptance may not be refused solely because of minor defects that do not materially impair the agreed use of the website.

10.6 Foundora shall be given a reasonable opportunity to remedy legitimate defects falling within the agreed scope.

10.7 Final handover may take place after acceptance and receipt of all outstanding payments properly due.

11. Files, Uploads and Customer Content

11.1 Foundora may allow customers to upload and exchange files through the Client Portal or other project channels.

11.2 The customer shall only upload files that are reasonably connected with the project, Care Plan or support request.

11.3 The customer warrants that it is authorised to provide and use all uploaded content and that such content does not infringe intellectual-property rights, privacy rights or other rights of third parties.

11.4 Customers must not knowingly upload malicious software, executable malware, unlawful content or material designed to compromise Foundora’s systems or third-party systems.

11.5 Foundora may refuse, quarantine or remove files where reasonably necessary for security, legal or technical reasons.

11.6 The Client Portal is not intended to serve as the customer’s sole permanent backup or archival system. Customers remain responsible for retaining copies of important original materials and documents unless otherwise agreed.

12. Support and Project Communications

12.1 The Client Portal may provide a support-ticket system through which customers can submit technical or project-related support requests.

12.2 Support requests may include a subject, category, urgency indication, message and optional attachments.

12.3 An urgency level selected by the customer is informational and does not create a guaranteed response or resolution time unless a specific response time has been expressly agreed under an applicable Care Plan or other service agreement.

12.4 Foundora may prioritise support requests according to severity, technical impact, contractual service level and the customer’s applicable Care Plan.

12.5 Communications and replies within a support ticket may form part of the project or support documentation.

12.6 Customers should not submit passwords, payment-card information or other unnecessary highly sensitive information through support tickets or file uploads unless Foundora expressly requests a secure method for providing such information.

13. Hosting, Domains and Third-Party Services

13.1 Foundora may use or recommend third-party services in connection with a project, including hosting providers, domain registrars, WordPress, Elementor, plugins, external software, APIs and other technical services.

13.2 Unless expressly agreed otherwise, fees for hosting, domains, premium plugins, software licences and other third-party services are not included in the project price.

13.3 Where possible and appropriate, third-party services should be registered in the customer’s own name and account. The customer remains responsible for maintaining such accounts, subscriptions and payment obligations unless otherwise agreed.

13.4 Foundora may assist the customer with the setup, configuration or administration of third-party services but does not become the provider of those services.

13.5 Foundora is not responsible for outages, service interruptions, price changes, discontinuation of services, security incidents or other circumstances caused by third-party providers and outside Foundora’s reasonable control.

13.6 Changes made by third-party providers, including updates to software, APIs, hosting environments or licensing models, may require additional work. Such work is not included unless expressly covered by the agreed project scope or an active Care Plan.

14. Foundora Care Plans

14.1 Foundora may offer recurring website maintenance and support services (“Care Plans”).

14.2 The specific services included in a Care Plan are determined by the package selected by the customer and the service description applicable at the time the subscription is concluded.

14.3 Depending on the selected package, Care Plans may include services such as website maintenance, software updates, backups, security or performance monitoring, technical support and a defined amount of content-change time.

14.4 Included content-change time is limited to the amount specified for the respective Care Plan. Unless expressly stated otherwise, unused time does not accumulate or carry over into subsequent billing periods.

14.5 Requests exceeding the included service scope or monthly time allowance may be quoted and charged separately.

14.6 A Care Plan does not include redesigns, major new functionality, new pages, extensive content creation, third-party licence fees or substantial development work unless expressly stated otherwise.

14.7 Foundora may reasonably schedule maintenance and support work according to urgency, technical requirements and the support priority associated with the customer’s Care Plan.

14.8 Available Care Plans and the customer’s current Care Plan status may be displayed in the Client Portal.

14.9 Where a Care Plan is purchased or activated using a Stripe checkout or subscription process, the subscription becomes subject to the applicable agreed service description and billing terms once the subscription has been successfully established.

15. Care Plan Billing, Term and Cancellation

15.1 Care Plans are billed monthly in advance at the price displayed or individually agreed at the time of subscription.

15.2 Payments for Care Plans may be processed automatically through Stripe or another payment service provider offered by Foundora.

15.3 The subscription automatically renews for successive monthly billing periods unless cancelled.

15.4 Unless otherwise agreed, a Care Plan may be cancelled at any time with effect at the end of the current paid billing period. No further recurring payment will be charged after the effective cancellation date.

15.5 Cancellation does not generally entitle the customer to a pro-rata refund for an already commenced and paid billing period.

15.6 If a recurring payment fails, Foundora or its payment service provider may attempt to collect the outstanding amount again and may request that the customer update its payment information.

15.7 Foundora may suspend Care Plan services while payments are overdue. Where payment remains unsuccessful after the applicable retry or reminder process, the subscription may be terminated.

15.8 Termination of a Care Plan does not terminate or transfer third-party services contracted directly by the customer, including hosting, domains or software licences.

15.9 Care Plan status displayed in the Client Portal may reflect information received from the applicable payment or subscription system. In the event of a discrepancy, the actual subscription and payment records shall prevail.

16. Intellectual Property and Usage Rights

16.1 Until all amounts due for the respective project have been paid in full, Foundora retains all rights in Foundora-created drafts, concepts, layouts, code and other project deliverables to the extent such rights are held by Foundora.

16.2 Upon full payment, the customer receives, in respect of the final project elements individually created by Foundora and protected by copyright, an exclusive, worldwide and unlimited-in-time right of use to the extent required to operate, reproduce, display, make publicly accessible, maintain and modify the completed website for the customer’s business purposes. Foundora retains the limited rights required for the portfolio and reference use permitted under Section 17.

16.3 The customer may permit employees, contractors, hosting providers and other service providers to use or modify the final deliverables insofar as reasonably necessary for operation, maintenance or further development of the customer’s website. Rights may also be transferred together with the relevant website or business to the extent legally permissible.

16.4 Third-party materials and components, including fonts, stock media, themes, plugins, software, libraries and templates, are excluded from the rights granted under Sections 16.2 and 16.3 and remain subject to their respective licence terms. Foundora cannot grant rights that it does not itself hold.

16.5 Foundora retains all rights in pre-existing know-how, methods, reusable code, generic components, processes, templates, tools and other materials that were not created exclusively for the customer. To the extent such Foundora-owned components are technically necessary for use of the final website, the customer receives a non-exclusive right to use them as part of the completed website for the agreed business purpose.

16.6 Unless expressly agreed otherwise, editable design source files, internal working files, development tools and other materials that are not required for the operation of the completed website are not part of the final deliverables.

17. Portfolio and Reference Use

17.1 Unless otherwise agreed before the start of the project, Foundora may display completed and publicly available project work as a reference in its portfolio, website, social media channels, presentations and other promotional materials. This may include the customer’s business name, logo, publicly accessible website URL and screenshots of the completed work.

17.2 Foundora shall not disclose confidential information, non-public business information, access credentials, customer data, analytics, Client Portal content, support communications or other internal information for portfolio or promotional purposes.

17.3 Where the customer has legitimate confidentiality requirements, reference use may be excluded by individual agreement before the project begins.

18. Electronic Communications and Notifications

18.1 Foundora may communicate with customers electronically in connection with enquiries, proposals, projects, invoices, payments, Care Plans, support requests and other contractual matters.

18.2 Such communications may be provided by email, through the Client Portal or through another electronic communication method agreed with the customer.

18.3 The Client Portal or associated systems may generate automated notifications regarding events such as newly available proposals, proposal acceptance, invoices, payments, project updates, files, Care Plans or support activity.

18.4 Automated notifications are intended to assist with the administration of the customer relationship. Failure or delay of a non-essential notification does not invalidate the underlying transaction or status where the relevant action has otherwise been validly completed and recorded.

18.5 The customer is responsible for providing and maintaining a valid business email address and for informing Foundora of relevant changes to its contact information.

19. Defects and Warranty

19.1 Foundora shall provide the agreed services with reasonable professional care and in accordance with the agreed project scope.

19.2 The customer shall notify Foundora of identifiable defects without undue delay and provide sufficient information to allow Foundora to investigate the issue.

19.3 Where a legitimate defect attributable to Foundora exists, Foundora shall be given a reasonable opportunity to remedy the defect.

19.4 A defect does not exist merely because the customer subsequently prefers a different design, functionality or implementation that was not part of the agreed scope.

19.5 Foundora is not responsible for defects or malfunctions caused by modifications made by the customer or third parties after handover, improper use, third-party systems, external updates or circumstances outside Foundora’s responsibility.

19.6 Statutory rights that cannot legally be excluded or restricted remain unaffected.

20. Availability, Security and Technical Systems

20.1 Foundora takes reasonable technical and organisational measures appropriate to the nature of its services to operate its digital systems securely and reliably.

20.2 Foundora does not guarantee uninterrupted or error-free availability of the Client Portal, Foundora Desk, website or third-party services.

20.3 Temporary interruptions may occur in particular due to maintenance, updates, security measures, hosting incidents, network failures or circumstances outside Foundora’s reasonable control.

20.4 Foundora may temporarily restrict access to a system where reasonably necessary to address a security incident, suspected misuse or technical problem.

20.5 Nothing in this Section limits Foundora’s liability where liability cannot legally be excluded or restricted.

21. Liability

21.1 Foundora shall be liable without limitation for damage caused intentionally or through gross negligence, as well as in cases where liability cannot legally be excluded or limited.

21.2 In cases of ordinary negligence, Foundora shall only be liable for the breach of material contractual obligations whose fulfilment is essential for the proper performance of the contract and on whose fulfilment the customer may regularly rely. In such cases, liability shall be limited to the damage that was foreseeable and typical for the contract at the time the contract was concluded.

21.3 Any mandatory statutory liability, including liability for injury to life, body or health, remains unaffected.

21.4 Subject to the preceding provisions, Foundora is not responsible for indirect losses resulting from third-party outages, hosting failures, domain-provider failures, external software, plugins, APIs, cyberattacks or customer actions outside Foundora’s reasonable control.

21.5 The customer remains responsible for the legality, accuracy and rights clearance of content, information and materials supplied by the customer.

22. Confidentiality

22.1 Each party shall treat confidential business, technical and commercial information received from the other party in connection with the project as confidential.

22.2 Confidential information may only be used to the extent reasonably necessary for performing the contractual relationship.

22.3 The confidentiality obligation does not apply to information that is publicly available without breach of this obligation, was already lawfully known to the receiving party or must be disclosed by law or binding authority.

22.4 The obligations under this Section continue after completion or termination of the respective project to the extent that the information remains confidential.

22.5 Access to information through the Client Portal or Foundora Desk does not alter its confidential character.

23. Termination of Projects

23.1 Statutory termination rights remain unaffected. In particular, where the project qualifies as a contract for work under German law, the customer’s statutory right to terminate before completion remains unaffected.

23.2 If the customer terminates a project before completion, Foundora’s entitlement to remuneration shall be determined by the applicable statutory provisions and the individual contractual arrangement. This may include remuneration for work already performed and, where legally applicable, further remuneration after deduction of expenses saved and other amounts that must be credited.

23.3 Either party may terminate the contractual relationship for good cause where the statutory requirements are met.

23.4 Upon termination, Foundora may suspend further work and shall provide those deliverables to which the customer is entitled after payment of all amounts properly due.

23.5 Termination does not affect payment obligations or other rights and obligations that arose before the effective termination date.

23.6 Following completion or termination of the customer relationship, Foundora may restrict or terminate access to the Client Portal after a reasonable period, subject to applicable contractual and statutory retention obligations.

23.7 Customers should download any files or documents made available to them through the Client Portal that they wish to retain permanently before portal access ends.

24. Final Provisions

24.1 The contractual relationship between Foundora and the customer shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

24.2 Where legally permissible and the customer is a merchant, legal entity under public law or special fund under public law, the competent courts at Foundora’s place of business shall have jurisdiction.

24.3 Amendments or additions to an individual project agreement should be documented in text form to ensure clarity regarding the agreed scope and conditions. Electronic documentation through the Client Portal may satisfy this requirement where appropriate.

24.4 If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The applicable statutory provisions shall apply in place of the invalid or unenforceable provision.

24.5 The version of these Terms made available to the customer at the time the respective contract is concluded shall apply to that contract.
